By accessing or using the SkillsRight website and services (the “Services”), you agree to be bound by these Terms & Conditions (“Terms”). If you do not agree to these Terms, you may not access or use the Services. You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Impersonate or attempt to impersonate SkillsRight, a SkillsRight employee, or any other person or entity
• Introduce any viruses, trojan horses, worms, or other material that is malicious or technologically harmful
• Attempt to gain unauthorized access to any portion of the Services

The Services and their entire contents, features, and functionality are owned by SkillsRight, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services without the prior written consent of SkillsRight.

If you create an account on the Services, you are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer. You agree to accept responsibility for all activities that occur under your account or password.

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER SKILLSRIGHT NOR ANY PERSON ASSOCIATED WITH SKILLSRIGHT MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SERVICES.

IN NO EVENT WILL SKILLSRIGHT, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICES.

You agree to defend, indemnify, and hold harmless SkillsRight, its affiliates, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees arising out of or relating to your violation of these Terms or your use of the Services.

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.
